This agreement is between Kaldwell Agency Ltd (registered in England and Wales) ("the Agency") and the client identified above ("the Client"). By signing below, both parties agree to the terms set out in this agreement.
The Agency will provide local SEO services as defined in the selected package. Services include, but are not limited to, Google Business Profile optimisation, local content creation, citation building, review management, ranking reporting, and (where applicable) call tracking, competitor monitoring, and strategy consultations. Full package details are confirmed in the monthly invoice.
The monthly retainer fee is as selected above, payable in advance on the first of each month via GoCardless Direct Debit. The first payment is collected upon signing of this agreement. All prices are exclusive of VAT where applicable. Late payment may result in service suspension.
This agreement operates on a rolling monthly basis with no minimum term. Either party may cancel by providing 30 days written notice via email. The Agency will continue delivering services in full during the notice period. No refunds are provided for the notice period month unless the 60-day results guarantee applies.
If the Client does not see measurable improvement in Google Business Profile performance — including rankings, profile views, or call clicks — within 60 days of the commencement date, the Agency will refund the first month's fee in full within 5 working days of a written claim. This guarantee applies only to the first month's fee and is subject to the Client providing timely access to all necessary accounts and information.
The Client agrees to: (a) provide Google Business Profile manager access within 5 working days of signing; (b) respond to requests for photos, business information, or approvals within 5 working days; (c) not make unauthorised changes to their Google Business Profile during the agreement period without notifying the Agency; (d) maintain a valid Direct Debit mandate throughout the agreement.
All rankings, citations, Google Business Profile content, and website content created during this agreement remain the property of the Client. Upon cancellation, the Agency will provide a full handover document within 10 working days covering all work completed. The Agency does not retain any hold over Client assets upon termination.
Both parties agree to keep confidential any commercially sensitive information shared during this agreement. The Agency will not disclose Client performance data, results, or business information to any third party without written consent, except where required by law.
The Agency processes Client data in accordance with the UK GDPR and the Data Protection Act 2018. Client data is used solely for delivering the agreed services and is never sold to third parties. The Agency is registered with the Information Commissioner's Office (ICO).
The Agency's liability is limited to the monthly fee paid for the month in which any claim arises. The Agency cannot guarantee specific ranking positions as Google's algorithms are outside our control. The Agency is not liable for any indirect losses, lost profits, or consequential damages arising from this agreement.
The Agency may update these terms with 30 days written notice. Continued use of services after this period constitutes acceptance of the updated terms. The Client may cancel within the notice period if they do not accept the updated terms.
This agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
